The Company hereby assures the insured limited liability company (Insured) that this Policy and the coverage provided to the Insured hereunder shall not be deemed to have lapsed or to have been forfeited or to have terminated because of the occurrence, subsequent to the date of the Policy, or any of the following events done in accordance with the Insured’s Operating Agreement and its Articles of Organization:

1) the transfer of membership interest by one or more members;

2) the withdrawal of one or more members from the Insured;

3) the addition of one or more members to the Insured;

so long as the Insured remains the titleholder and no new limited liability company is explicitly formed.

Nothing contained herein shall be construed as extending the insurance hereunder as to matters attaching or created subsequent to the date hereof, or insuring the status of the Insured as a limited liability company after the transfer of membership interest, the withdrawal of member(s), the addition of member(s) or a merger or consolidation involving the Insured.

This Endorsement is made a part of the Policy or Commitment and is subject to all the terms and provisions thereof and of any prior endorsements thereto. Except to the extent expressly stated, it neither modifies any of the terms and provisions of the Policy or Commitment and prior endorsements, if any, nor does it extend the Effective Date of the Policy or Commitment and prior endorsements or increase the face amount thereof.3
