BE IT KNOWN, That on the day of the date hereof, before me, the subscriber, a Notary Public personally appeared ________________________________________
Who, being duly sworn according to law, did depose and say
THAT deponent (s) have not entered into any unrecorded leases or agreements affecting premises
THAT the newly erected building (s), if any, on the premise to be insured is/are completed
THAT the deponent (s) is/are of full legal age.
THAT the deponent (s) have not borrowed any money or signed any judgment notes, mortgages, or other obligations excepting such obligation, if any executed herewith.
THAT deponent is a business entity duly created in accordance with the laws of its home state; that any and all corporate and/or franchise taxes are paid; that it is presently in good standing in its home state; and that the purchase/or mortgage of the above premises is made pursuant to a resolution of the board or in accordance with the operation agreement; and that the deponent is authorized to act on behalf of the business entity.
NOW, THEREFORE, it is agreed that in consideration of the Company's issuance of its policy effective as of the date closing occurs without making exception therein of matters which may arise between the date of its commitment to issue its policy of title insurance and the date the documents creating the interest being insured have been filed for record, and which matters may constitute an encumbrance on or affect said title, the undersigned agrees to promptly defend, remove, bond or otherwise dispose of any encumbrance, lien, or objectionable matter of title which may arise or be filed, as the case may be, against the captioned premises during the period of time between the date of its commitment to issue its policy of title insurance and the date of recording of all closing instruments, and to hold harmless and indemnify the Company against all expenses, costs and attorney fees, which may arise out of the failure to so remove, bond or otherwise dispose of any said liens, encumbrances or objectionable matters.
Further, the undersigned shall be liable for all expenses, costs and attorney fees which may be incurred in the enforcement of this agreement.
This affidavit is made for the purpose of inducing Stewart Title Guaranty Company ("Stewart") to hold settlement and insure title to the above premises and I/we realize that the Seller, Lender and Stewart are relying on the representations contained herein. If the undersigned is an entity, I have authority to sign on its behalf.
