In the event you have not executed a separate amendment to your Underwriting Agreement or Retainer Agreement incorporating the following clause, or you have not executed a revised Underwriting Agreement or Retainer Agreement containing the following clause in Paragraph 3 of the Underwriting Agreement or Paragraph 4 of the Retainer Agreement, this letter will serve as an amendment to either Paragraph 3 of the Underwriting Agreement or Paragraph 4 of the Retainer Agreement, amending said agreements as follows:

If Underwriting Agreement: Company shall indemnify, protect, save, defend and hold Underwriter harmless from any unauthorized use of the forms, materials and manuals, of whatever nature, supplied by Underwriter to Company, whether such forms, materials and manuals are produced electronically, preprinted or otherwise.

If Retainer Agreement: Attorney shall indemnify, protect, save, defend and hold Stewart harmless from any unauthorized use of the forms, materials and manuals, of whatever nature, supplied by Stewart to Attorney, whether such forms, materials and manuals are produced electronically, preprinted or otherwise.
